Terms of Service

These Terms of Service ("Terms") govern your use of the website at accmcp.com and, where you hold an account, the AccMCP service operated by Wilford Technology ("AccMCP", "we", "us").

By using the website or the service you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.

1. The service

AccMCP synchronises data from your Busy Accounting company files into a private, governed warehouse and makes it readable through two surfaces: an MCP endpoint that AI assistants connect to, and our Business Intelligence application.

Access to your accounting data is read-only. The only tools that create anything produce private, downloadable export files; nothing writes back to Busy.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account details, for all activity under your account, and for keeping credentials and API tokens confidential. Tell us promptly at support@whats91.com if you suspect unauthorised use.

3. Subscriptions, fees and taxes

Where the service is offered on a paid basis, the applicable plan, fees and billing period are those presented to you at the time of purchase. Fees are stated exclusive of taxes unless said otherwise, and you are responsible for any GST or other applicable taxes.

Unless stated otherwise at purchase, subscriptions renew automatically for the same period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.

4. Refunds

The service is a digital product delivered immediately on activation. Our refund position is set out in full in the Refund Policy, which forms part of these Terms.

5. Acceptable use

You agree not to:

  • reverse engineer, decompile or attempt to derive source code, except to the extent this restriction is unenforceable by law;
  • resell, sublicense or provide the service to third parties as a service of your own without our written agreement;
  • probe, scan or test the security of the service except under our Responsible Disclosure policy;
  • use the service to store or transmit unlawful material, or in breach of any applicable law;
  • circumvent rate limits, authentication or usage restrictions, or use the service in a way that degrades it for others;
  • misrepresent output from the service as verified financial advice or as an audited statement.

6. Third-party AI assistants

AccMCP is compatible with third-party assistants including ChatGPT, Claude and other MCP clients. Those are operated by their own providers under their own terms. We do not control them, and your use of them is between you and that provider. Names and marks of those products belong to their respective owners and are used here only to identify compatibility.

7. Accuracy of output

The service reads your own accounting records and resolves questions against governed catalogs. It reports what it cannot compute rather than estimating. Even so, output is provided for information only. It is not accounting, tax, audit, investment or legal advice, and it does not replace review by a qualified professional. You remain responsible for decisions you take and for your statutory filings.

8. Your data and ownership

Your accounting data remains yours. You grant us only the limited licence needed to sync, store, process and present it in order to provide the service. We do not sell it, and we do not use it to train third-party models.

We own the service, its software, interfaces and documentation, and all intellectual property in them. Feedback you send us may be used without obligation to you.

9. Availability, support and changes

We aim to keep the service available but do not warrant uninterrupted or error-free operation. Synchronisation runs on a schedule rather than in real time, and any tool or report can tell you when data last synced.

We may modify, suspend or discontinue features. Where a change is material and adverse to a paying customer, we will give reasonable notice.

10. Warranties

To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data.

Our total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid us for the service in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, or your rights under the Consumer Protection Act, 2019.

12. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the service, or your violation of applicable law or a third party's rights.

13. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access where you materially breach these Terms, where required by law, or where continued access poses a security risk. On termination, your right to use the service ends; clauses that by their nature survive will survive.

14. Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory consumer protections available to you, the courts at Ujjain, Madhya Pradesh, India have exclusive jurisdiction.

Before commencing proceedings, please raise the matter with us at support@whats91.com so we can try to resolve it.

15. General

If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. These Terms, together with the policies they reference, are the entire agreement between us on this subject.

16. Changes to these Terms

We may update these Terms. Material changes will be reflected in the effective date and version at the top of this page, and where you hold an account we will give reasonable notice. Continued use after a change means you accept the updated Terms.
